Marvell to Buy Lumentum in $115B All-Stock Deal to Lead AI Connectivity

Marvell will acquire optical components maker Lumentum in an all-stock transaction with an implied enterprise value of $115 billion, paying about $1,132 per share — a 23.9% premium — in a bet that AI data centers are shifting from copper to light. The combined company targets a $550 billion market, with a close expected in the first half of 2028.

What happened#

Marvell Technology (NASDAQ: MRVL) and Lumentum (NASDAQ: LITE) announced a definitive agreement on Monday for Marvell to acquire Lumentum in an all-stock transaction with an implied enterprise value of $115 billion — one of the biggest deals of 2026, and one of the boldest corporate bets yet that the AI spending boom will run for years.

Under the agreement, Lumentum stockholders will receive a fixed exchange ratio of 4.500 shares of Marvell common stock for each Lumentum share. That values Lumentum at approximately $1,132 per share, a premium of about 23.9% to the companies' unaffected closing prices on October 28, the last trading day before speculation about a deal began. The equity value of the transaction is $102.54 billion, according to Reuters.

After closing, current Marvell stockholders will own approximately 67% of the combined company on a fully diluted basis, and Lumentum stockholders approximately 33%. Both boards approved the deal unanimously. It is expected to close in the first half of calendar 2028, subject to approval by both companies' stockholders, regulatory clearances and customary conditions.

Why optical, why now#

The strategic logic is the shift of AI data centers from electrical to optical connections. Marvell brings custom AI chips, network switching, electrical interconnect and silicon photonics. Lumentum brings high-performance lasers, optical transceivers, optical circuit switching and compound semiconductor manufacturing. The companies say the combination creates a full-stack connectivity portfolio and expands their total addressable market to $550 billion.

"AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," said Marvell Chairman and CEO Matt Murphy, who will lead the combined company.

The companies see line of sight to more than $1 billion in annual run-rate cost synergies, and expect the deal to add to Marvell's non-GAAP earnings per share in the first year after closing. The deal also steps up Marvell's challenge to Broadcom, Alphabet's main custom-chip partner, which offers a broader menu of AI data-center hardware under one roof. Marvell has been building its photonics position all year, closing a $3.5 billion purchase of Celestial AI in February. Nvidia, notably, invested $2 billion in each of Marvell and Lumentum earlier this year.

The market's first read#

In premarket trading Monday, Lumentum shares rose about 2.5% and Marvell edged higher, per the WSJ — a muted first reaction for a deal of this size. Both stocks had already been marked down since talks were first reported in late October, falling about 8% (Lumentum) and 22% (Marvell) as a broad chip selloff accelerated after Intel's weak forecast.

Separately on Monday, Lumentum reported first-quarter revenue of $1.26 billion, slightly ahead of consensus estimates of about $1.25 billion.

What to watch#

A close in the first half of 2028 is a long runway: the deal needs two shareholder votes and regulatory approvals in a sector where optical components are becoming strategically sensitive — Lumentum competes with Coherent and China's Zhongji Innolight, and stands to benefit from a proposed U.S. ban on new Chinese optical transceivers. With a fixed exchange ratio and no cash, Lumentum holders are also exposed to Marvell's share price for the next year-plus. Whether the market keeps paying for AI connectivity at this scale — combined 2026 capex at the big four AI spenders is running near $735 billion — is the question the deal now rides on.
